Bu kapsamda, <strong>m\u00fc\u015fteri olmamas\u0131 sebebiyle kira s\u00f6zle\u015fmesi feshedilebilir mi?<\/strong> sorusu, \u00f6zellikle al\u0131\u015fveri\u015f merkezlerinde (AVM) faaliyet g\u00f6steren tacir kirac\u0131lar taraf\u0131ndan s\u0131k\u00e7a y\u00f6neltilen kritik bir hukuki sorudur.<\/p>\n\n\n\n<p><a href=\"https:\/\/karararama.yargitay.gov.tr\" data-type=\"link\" data-id=\"https:\/\/karararama.yargitay.gov.tr\" target=\"_blank\" rel=\"noopener\">Yarg\u0131tay 3. Hukuk Dairesi\u2019nin 23 Ekim 2024 tarihli, 2023\/4628 Esas ve 2024\/3291 Karar say\u0131l\u0131 karar\u0131<\/a>, tam da bu soruya net bir yan\u0131t vermektedir. Karar, 5 y\u0131l s\u00fcreli yaz\u0131l\u0131 kira s\u00f6zle\u015fmesiyle AVM i\u00e7inde \u2026 (\u2026) markas\u0131n\u0131n bayili\u011fini i\u015fletmek amac\u0131yla ta\u015f\u0131nmaz kiralayan tacir kirac\u0131n\u0131n, g\u00fcnl\u00fck m\u00fc\u015fteri say\u0131s\u0131n\u0131n 20\u2019yi ge\u00e7memesi, ilk aylardan itibaren zarar etmesi ve ma\u011fazan\u0131n mimari konumunun yetersizli\u011fi gerek\u00e7esiyle s\u00f6zle\u015fmeyi m\u00fc\u015fteri olmamas\u0131 sebebiyle hakl\u0131 feshetti\u011fini ileri s\u00fcrd\u00fc\u011f\u00fc uyu\u015fmazl\u0131\u011f\u0131 ele alm\u0131\u015ft\u0131r. Kirac\u0131, dekorasyon ve stok i\u00e7in yakla\u015f\u0131k 350.000 TL harcama yapt\u0131\u011f\u0131n\u0131, ancak i\u015f potansiyelinde iyile\u015fme olmad\u0131\u011f\u0131n\u0131 belirterek fesih tespiti, kira borcunun bulunmad\u0131\u011f\u0131n\u0131n belirlenmesi ve maddi tazminat talep etmi\u015ftir.<\/p>\n\n\n\n<p>Yarg\u0131tay, ilk derece ve istinaf mahkemesi kararlar\u0131n\u0131 onayarak \u015fu temel h\u00fckm\u00fc ortaya koymu\u015ftur: M\u00fc\u015fteri olmamas\u0131 sebebiyle kira s\u00f6zle\u015fmesi feshedilebilir mi? sorusunun yan\u0131t\u0131, s\u00f6zle\u015fme imzaland\u0131\u011f\u0131 s\u0131rada mevcut olan fiziki ve ticari ko\u015fullarda \u201chay\u0131r\u201dd\u0131r. Kira s\u00f6zle\u015fmesinin imzalanmas\u0131 an\u0131nda var olan AVM mimarisi, y\u00fcr\u00fcyen merdiven konumu ve m\u00fc\u015fteri potansiyeli gibi hususlar, sonradan ortaya \u00e7\u0131kan bir durum olmad\u0131\u011f\u0131ndan hakl\u0131 fesih nedeni olu\u015fturmaz. Tacir s\u0131fat\u0131n\u0131 ta\u015f\u0131yan davac\u0131, 6102 say\u0131l\u0131 T\u00fcrk Ticaret Kanunu\u2019nun 18. maddesi gere\u011fince ticaretine ili\u015fkin b\u00fct\u00fcn i\u015flemlerde \u201cbasiretli tacir\u201d gibi davranmak zorundad\u0131r. Bu y\u00fck\u00fcml\u00fcl\u00fck, kiralanan\u0131n konumu, fiziki \u00f6zellikleri ve ticari \u00f6ng\u00f6r\u00fc a\u00e7\u0131s\u0131ndan gerekli inceleme ve de\u011ferlendirmeyi yapmay\u0131 zorunlu k\u0131lar.<\/p>\n\n\n\n<p>Kararda ayr\u0131ca kirac\u0131n\u0131n yapt\u0131\u011f\u0131 faydal\u0131 ve zorunlu masraflar detayl\u0131 \u015fekilde incelenmi\u015ftir. Al\u0131n\u0131p g\u00f6t\u00fcr\u00fclemeyen ve kiraya veren taraf\u0131ndan benimsenen dekorasyon giderleri, sebepsiz zenginle\u015fme h\u00fck\u00fcmleri \u00e7er\u00e7evesinde talep edilebilir niteliktedir. Bilirki\u015fi raporuna g\u00f6re y\u0131pranma pay\u0131 d\u00fc\u015f\u00fcld\u00fckten sonra kalan faydal\u0131 masraf miktar\u0131 yakla\u015f\u0131k 40.408,73 TL olarak kabul edilmi\u015f; ancak m\u00fc\u015fteri olmamas\u0131 sebebiyle hakl\u0131 fesih, bor\u00e7suzluk tespiti ve mahrum kal\u0131nan k\u00e2r talepleri reddedilmi\u015ftir.<\/p>\n\n\n\n<p>Bu karar, 6098 say\u0131l\u0131 T\u00fcrk Bor\u00e7lar Kanunu\u2019nun 299 ve devam\u0131 maddeleri ile T\u00fcrk Ticaret Kanunu\u2019nun 18. maddesinin birlikte yorumlanmas\u0131n\u0131n \u00f6nemli bir \u00f6rne\u011fidir. M\u00fc\u015fteri olmamas\u0131 sebebiyle kira s\u00f6zle\u015fmesi feshedilebilir mi? sorusu ba\u011flam\u0131nda, s\u00f6zle\u015fme \u00f6ncesi mevcut risklerin ticari ba\u015far\u0131s\u0131zl\u0131\u011fa yol a\u00e7mas\u0131, hakl\u0131 fesih gerek\u00e7esi say\u0131lamamaktad\u0131r. Tacir kirac\u0131lar a\u00e7\u0131s\u0131ndan b\u00fcy\u00fck \u00f6nem ta\u015f\u0131yan bu i\u00e7tihat, kiralama a\u015famas\u0131nda basiretli inceleme yap\u0131lmas\u0131n\u0131n zorunlulu\u011funu bir kez daha vurgulamaktad\u0131r.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\" id=\"2026-guncel-durum-ve-degisiklikler\"><strong>2026 G\u00fcncel Durum ve De\u011fi\u015fiklikler<\/strong><\/h4>\n\n\n\n<p>2026 y\u0131l\u0131 itibar\u0131yla kira hukuku alan\u0131nda \u00f6nemli bir geli\u015fme ya\u015fanm\u0131\u015ft\u0131r. Yarg\u0131tay 3. Hukuk Dairesi\u2019nin 14 Ekim 2025 tarihli ve 2025\/4810 Karar say\u0131l\u0131 ilam\u0131, 12 Mart 2026 tarihinde Resmi Gazete\u2019de yay\u0131mlanarak y\u00fcr\u00fcrl\u00fc\u011fe girmi\u015ftir. Bu emsal karar ile T\u00fcrk Bor\u00e7lar Kanunu\u2019nun 331. maddesinde d\u00fczenlenen \u201c\u00e7ekilmezlik hali\u201d (ola\u011fan\u00fcst\u00fc fesih) ilkesi, belirli s\u00fcreli kira s\u00f6zle\u015fmelerinde de (konut ve \u00e7at\u0131l\u0131 i\u015fyeri ayr\u0131m\u0131 yap\u0131lmaks\u0131z\u0131n) uygulanabilir hale getirilmi\u015ftir. Art\u0131k kira ili\u015fkisi taraflardan biri i\u00e7in nesnel olarak \u00e7ekilmez hale gelmi\u015fse, yasal fesih bildirim s\u00fcresine uyularak s\u00f6zle\u015fme s\u00fcresi dolmadan fesih m\u00fcmk\u00fcnd\u00fcr.<\/p>\n\n\n\n<p>Ancak bu yeni i\u00e7tihat, m\u00fc\u015fteri olmamas\u0131 sebebiyle kira s\u00f6zle\u015fmesi feshedilebilir mi? sorusuna do\u011frudan etki etmemektedir. \u00c7\u00fcnk\u00fc 2024 tarihli emsal karar\u0131m\u0131zda oldu\u011fu gibi, s\u00f6zle\u015fme imzalanmas\u0131 s\u0131ras\u0131nda mevcut ve basiretli bir tacir taraf\u0131ndan \u00f6ng\u00f6r\u00fclebilir olan fiziki durumlar (AVM mimarisi, m\u00fc\u015fteri trafi\u011fi potansiyeli) \u201c\u00e7ekilmezlik hali\u201d kapsam\u0131nda ola\u011fan\u00fcst\u00fc fesih nedeni kabul edilmemektedir. Yarg\u0131tay\u2019\u0131n yerle\u015fik uygulamas\u0131 de\u011fi\u015fmeden devam etmekte; s\u00f6zle\u015fme \u00f6ncesi risklerin sonradan ke\u015ffedilmesi h\u00e2l\u00e2 hakl\u0131 fesih gerek\u00e7esi olu\u015fturmamaktad\u0131r. Dolay\u0131s\u0131yla 2024 karar\u0131, 2026\u2019da da ticari kira uyu\u015fmazl\u0131klar\u0131nda referans niteli\u011fini korumaktad\u0131r.<\/p>\n\n\n\n<p>6NOVA Avukatl\u0131k B\u00fcrosu, AVM ve ticari i\u015fyeri kira s\u00f6zle\u015fmelerinden do\u011fan m\u00fc\u015fteri olmamas\u0131 sebebiyle kira s\u00f6zle\u015fmesi feshedilebilir mi? tarz\u0131 uyu\u015fmazl\u0131klarda, hakl\u0131 fesih, tazminat, sebepsiz zenginle\u015fme ve basiretli tacir y\u00fck\u00fcml\u00fcl\u00fc\u011f\u00fc konular\u0131nda m\u00fcvekkillerine stratejik hukuki destek sunmaktad\u0131r. S\u00f6zle\u015fme m\u00fczakeresi a\u015famas\u0131nda basiretli inceleme, risk analizi ve olas\u0131 fesih senaryolar\u0131n\u0131n \u00f6nceden de\u011ferlendirilmesi, ticari kay\u0131plar\u0131 minimize etmenin en etkili yoludur.<\/p>\n\n\n\n<p>Karar\u0131n tam metni a\u015fa\u011f\u0131da yer almaktad\u0131r. CEVAP<\/strong><\/h6>\n\n\n\n<p id=\"viewer-pqszd664\">Daval\u0131 vekili; davac\u0131n\u0131n tacir olup basiretli davranma y\u00fck\u00fcml\u00fcl\u00fc\u011f\u00fc bulundu\u011funu, i\u015f yerini kiralarken mimari projesine uygun olarak yap\u0131lan ve 03.11.2011 tarihinde iskan\u0131 al\u0131nan AVM&#8217;nin i\u00e7inde bulunan y\u00fcr\u00fcyen merdivenlerin konumunu, kiralanana herhangi bir etkisi olup olmad\u0131\u011f\u0131n\u0131 bilebilecek konumda oldu\u011funu, mevcut yaz\u0131l\u0131 s\u00f6zle\u015fme haricinde taraf\u0131ndan verilen herhangi bir taahh\u00fct bulunmad\u0131\u011f\u0131n\u0131 savunarak, davan\u0131n reddini istemi\u015ftir.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\" id=\"viewer-mmbsq668\"><strong>III. \u0130LK DERECE MAHKEMES\u0130 KARARI<\/strong><\/h6>\n\n\n\n<p id=\"viewer-pcgm0672\">\u0130lk Derece Mahkemesinin yukar\u0131da tarih ve say\u0131s\u0131 belirtilen karar\u0131yla; taraflar aras\u0131ndaki kira s\u00f6zle\u015fmesi h\u00fck\u00fcmleri ve davac\u0131n\u0131n tacir oldu\u011fu nazara al\u0131nd\u0131\u011f\u0131nda, kiralanandaki fiziki durumlar\u0131n s\u00f6zle\u015fmenin imzalanmas\u0131 s\u0131ras\u0131nda mevcut oldu\u011fundan bahisle davac\u0131 taraf\u0131ndan kira s\u00f6zle\u015fmesinin hakl\u0131 nedenle feshinin m\u00fcmk\u00fcn olmad\u0131\u011f\u0131, kirac\u0131n\u0131n kiralanana yapt\u0131\u011f\u0131 faydal\u0131 ve zorunlu giderlerden al\u0131n\u0131p g\u00f6t\u00fcr\u00fclmesi m\u00fcmk\u00fcn olmayan ve daval\u0131 kiraya veren taraf\u0131ndan benimsenenlerin yap\u0131ld\u0131klar\u0131 tarih itibar\u0131yla bedellerinin y\u0131pranma pay\u0131 d\u00fc\u015f\u00fclmek suretiyle isteyebilece\u011fi gerek\u00e7esiyle; davan\u0131n k\u0131smen kabul\u00fcne, taleple ba\u011fl\u0131 kal\u0131narak 1.000,00 TL tazminat\u0131n sebepsiz zenginle\u015fme gere\u011fince daval\u0131dan tahsiline, fazlaya ili\u015fkin istemin reddine karar verilmi\u015ftir.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\" id=\"viewer-sok5h676\"><strong>IV. \u0130ST\u0130NAF<\/strong><\/h6>\n\n\n\n<h6 class=\"wp-block-heading\" id=\"viewer-dpbmb680\"><strong>A. \u0130stinaf Yoluna Ba\u015fvuranlar<\/strong><\/h6>\n\n\n\n<p id=\"viewer-qaj64684\">\u0130lk Derece Mahkemesinin yukar\u0131da belirtilen karar\u0131na kar\u015f\u0131, s\u00fcresi i\u00e7inde taraf vekilleri istinaf ba\u015fvurusunda bulunmu\u015ftur.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\" id=\"viewer-vvmgc688\"><strong>B. \u0130stinaf Sebepleri<\/strong><\/h6>\n\n\n\n<p id=\"viewer-7bk8k692\"><strong>1. <\/strong>Davac\u0131 vekili; eksik ve hatal\u0131 h\u00fck\u00fcm kuruldu\u011funu, delillerinin de\u011ferlendirilmedi\u011fini, daval\u0131 kiraya verenin AVM&#8217;nin fiziksel yap\u0131s\u0131n\u0131n de\u011fi\u015ftirilece\u011fi y\u00f6n\u00fcnde vaatlerde bulunarak m\u00fcvekkilinin iradesini sakatlad\u0131\u011f\u0131 hususunun tan\u0131k beyanlar\u0131yla ispatland\u0131\u011f\u0131n\u0131, \u00f6ncelikle bu sebeple m\u00fcvekkilinin kira s\u00f6zle\u015fmesini hakl\u0131 nedenlerle feshetti\u011finin kabul\u00fc gerekti\u011fini, bilirki\u015filerce ta\u015f\u0131nmaza yap\u0131lan faydal\u0131 masraflar\u0131n y\u0131pranma pay\u0131 hari\u00e7 40.408,73 TL oldu\u011funun belirtildi\u011fi, rapora itirazlar\u0131 dikkate al\u0131nmadan \u0131slah harc\u0131 yat\u0131r\u0131lmad\u0131\u011f\u0131 gerek\u00e7esiyle karar verilmesinin hatal\u0131 oldu\u011funu, \u0131slah hususunda taraflar\u0131na kesin s\u00fcre verilmedi\u011fini ileri s\u00fcrerek; karar\u0131n kald\u0131r\u0131lmas\u0131n\u0131 talep etmi\u015ftir.<\/p>\n\n\n\n<p id=\"viewer-0xpm3696\"><strong>2. <\/strong>Daval\u0131 vekili; davac\u0131n\u0131n tacir oldu\u011funu, davac\u0131 taraf\u0131ndan yap\u0131lan dekorasyonlar\u0131n s\u00f6k\u00fcl\u00fcp g\u00f6t\u00fcr\u00fclmesinin m\u00fcmk\u00fcn oldu\u011funu, davan\u0131n t\u00fcmden reddine karar verilmesi gerekti\u011fini ileri s\u00fcrerek, karar\u0131n kald\u0131r\u0131lmas\u0131n\u0131 talep etmi\u015ftir.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\" id=\"viewer-xt05e700\"><strong>C. Gerek\u00e7e ve Sonu\u00e7<\/strong><\/h6>\n\n\n\n<p id=\"viewer-ilmc7704\">B\u00f6lge Adliye Mahkemesinin yukar\u0131da tarih ve say\u0131s\u0131 belirtilen karar\u0131yla; davac\u0131 kirac\u0131 taraf\u00e7a hakl\u0131 fesih sebebi olarak ileri s\u00fcr\u00fclen hususlar\u0131n kira s\u00f6zle\u015fmesinin imzalanmas\u0131 s\u0131ras\u0131nda mevcut oldu\u011fu, kira s\u00f6zle\u015fmesinin imzalanmas\u0131ndan sonra ortaya \u00e7\u0131kan durumlar olmad\u0131\u011f\u0131, tacir olan davac\u0131n\u0131n basiretli davranmas\u0131 gerekti\u011fi, i\u015f yerinin konumu ve m\u00fc\u015fteri potansiyeli hususunda ticari \u00f6ng\u00f6r\u00fcs\u00fc bulunmas\u0131 gerekti\u011fi, kira s\u00f6zle\u015fmesinin imzalanmas\u0131 s\u0131ras\u0131nda mevcut olan fiziki durumlar\u0131n, 6098 say\u0131l\u0131 T\u00fcrk Bor\u00e7lar Kanunu&#8217;nun (6098 say\u0131l\u0131 Kanun) ilgili maddelerinde d\u00fczenlenen s\u00f6zle\u015fmenin feshi i\u00e7in hakl\u0131 sebep olu\u015fturamayaca\u011f\u0131, ancak davac\u0131 taraf\u0131ndan yap\u0131lan dekorasyondan faydal\u0131 ve zorunlu olanlardan al\u0131n\u0131p g\u00f6t\u00fcr\u00fclmesi m\u00fcmk\u00fcn olmayan ve daval\u0131 kiraya veren taraf\u0131ndan benimsenenlerin sebepsiz zenginle\u015fme h\u00fck\u00fcmlerine g\u00f6re talep edilebilece\u011fi, 04.03.2019 havale tarihli ek bilirki\u015fi raporunda belirtildi\u011fi \u00fczere, davac\u0131 taraf\u00e7a yap\u0131lan toplam faydal\u0131 masraflar\u0131n y\u0131pranma pay\u0131 hari\u00e7 olmak \u00fczere 40.408,73 TL oldu\u011fu, daval\u0131 taraf\u0131ndan faydal\u0131 masraflar\u0131n benimsendi\u011fi anla\u015f\u0131ld\u0131\u011f\u0131ndan, y\u0131pranma bedeli d\u00fc\u015f\u00fcld\u00fckten sonra kalan miktardan sebepsiz zenginle\u015fme h\u00fck\u00fcmleri gere\u011fince daval\u0131 taraf\u0131n sorumlu oldu\u011fu, ancak dava de\u011ferinin 1.000,00 TL olarak belirlendi\u011fi, davac\u0131n\u0131n kira s\u00f6zle\u015fmesini hakl\u0131 nedenle feshi, bor\u00e7lu olmad\u0131\u011f\u0131n\u0131n tespiti ve mahrum kal\u0131nan k\u00e2ra ili\u015fkin taleplerinini ise hakl\u0131 nedenle fesih olmad\u0131\u011f\u0131 gerek\u00e7esiyle reddine karar verilmesinde bir isabetsizlik bulunmad\u0131\u011f\u0131 gerek\u00e7esiyle; taraf vekillerinin istinaf ba\u015fvurular\u0131n\u0131n esastan reddine karar verilmi\u015ftir.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\" id=\"viewer-8wlrw708\"><strong>V.
